1. Description of Service
Receivly is a productivity and workflow tool that helps Indian SMEs track invoices, monitor buyer payment behaviour, generate buyer risk scores, send payment reminders via email and WhatsApp, manage TDS/TCS deductions, and collect payments via custom payment links.
Receivly is a software tool only. We are not a bank, non-banking financial company (NBFC), payment aggregator, or financial institution regulated by the Reserve Bank of India. We do not provide loans, credit facilities, investment advice, or financial advice of any kind. Payment links generated by Receivly are processed by Dodo Payments — Receivly does not hold, transfer, or settle funds on your behalf.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the service with 30 days' prior notice by email, except where immediate action is required for legal or security reasons. In the event of a complete service shutdown, we will provide at least 60 days' notice and ensure you can export all your data before closure.
2. Eligibility & Account Registration
To use Receivly you must:
- Be at least 18 years of age
- Provide accurate, current, and complete information when creating your account
- Have the authority to enter into these terms on behalf of yourself or your business
You are responsible for maintaining the security of your account credentials. Do not share your login details with anyone outside your organisation. You are responsible for all activity that occurs under your account. If you suspect unauthorised access, contact us immediately at contact@receivly.in.
Operating multiple accounts to circumvent subscription limits or trial periods is a violation of these terms.
3. Bank Account Information
To enable payment collection via Receivly payment links, you may provide your bank account details (account number and IFSC code). By providing this information, you agree that:
- We will store your bank account details in encrypted form on our platform
- This information will be shared with Dodo Payments solely to facilitate settlement of payments collected on your behalf
- This information may be retained as required metadata for government compliance purposes, including GST filings, TDS records, and any applicable payment reporting obligations under Indian law, even after your account is deleted
- You are responsible for ensuring the bank account details you provide are accurate and belong to you or your authorised business account
We do not share your bank account details with any party other than Dodo Payments for the purposes described above.
4. User Responsibilities & Acceptable Use
By using Receivly, you represent and warrant that:
- All invoice data you upload accurately reflects genuine commercial transactions of your business
- Buyer information you enter relates to real business relationships in which you have a legitimate basis to process and share that data
- You will use payment reminders and payment links only for the recovery of genuine, undisputed outstanding invoices
- You will comply with all applicable Indian laws, including the Goods and Services Tax Act, 2017, the Income Tax Act, 1961, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023
You acknowledge that AI-parsed invoice data may contain errors depending on the quality of the source document. You are solely responsible for verifying all parsed data before acting on it or sending it to a third party.
5. Prohibited Use
The following uses are strictly prohibited. Violation may result in immediate account suspension or termination without refund.
- Uploading fraudulent, forged, fabricated, or altered invoices
- Sending spam, threatening, harassing, or misleading messages via payment reminders
- Using the reminder or payment link system to collect money not genuinely owed to you
- Attempting to access, read, or modify another user's data or bypass security controls
- Using the platform to facilitate money laundering, tax evasion, invoice fraud, or any financial crime
- Automated scraping, crawling, or bulk data extraction from the platform
- Reselling or sublicensing access to Receivly to third parties without written authorisation
- Uploading or transmitting malware, viruses, or any malicious code
- Impersonating another business, individual, or entity in communications sent through the platform
6. Payments & Billing
Pricing: Receivly costs ₹199 per month, billed monthly via Dodo Payments. All amounts are in Indian Rupees (INR).
Free trial: New accounts start with a free 7-day trial. No credit card is required to begin the trial. At the end of the trial, you will need to add a payment method to continue.
Failed payments: If a renewal payment fails, we will notify you by email. You will have a 5-day grace period during which your account remains accessible. If payment is not received within 5 days, your account will be suspended. Your data will be retained for 30 days from suspension, after which it will be permanently deleted unless you reactivate.
Cancellation: You may cancel at any time from Settings → Billing. You retain full access until the end of your current billing period. We do not offer refunds for partial months or unused periods.
Refunds: We do not offer refunds except where required by applicable law. If you believe a charge was made in error, contact us at contact@receivly.in within 7 days and we will review it in good faith.
Payment processing: All payments are processed by Dodo Payments. We never store your card number or payment method details.
7. Intellectual Property
The Receivly name, logo, design, and platform are the property of the operator of Receivly. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the platform without prior written permission.
Your data is yours.
Invoices, buyer information, and workspace content you create or upload remain your property at all times. You grant Receivly a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the service to you. This licence terminates when you delete your account, subject to legal retention obligations.
We do not use your invoice data, buyer data, or workspace content to train AI models or build datasets.
8. Indemnification
You agree to indemnify and hold harmless Receivly and its operator from any claims, liabilities, damages, costs, and expenses — including reasonable legal costs — arising from:
- Your use of the platform in violation of these Terms or any applicable law;
- Communications — including reminders and payment link messages — that you send to third parties through the platform, and any claims those third parties bring as a result;
- Your violation of any applicable Indian law, including GST, TDS, or data protection obligations;
- Any misrepresentation about your identity, your business, or the invoices you upload;
- Any dispute between you and a buyer relating to a transaction that Receivly was used to facilitate.
9. Limitation of Liability
Receivly is provided "as is" and "as available" without warranties of any kind. We are a workflow tool — we do not guarantee that buyers will pay after receiving reminders or payment links. The underlying commercial relationship and debt recovery remain solely your responsibility.
We are not liable for:
- Errors in AI-parsed invoice data — you are responsible for verifying all data before use;
- Disputes or legal proceedings between you and your buyers;
- Financial losses of any kind arising from your use or inability to use the platform;
- Loss or corruption of data from circumstances beyond our reasonable control;
- Service interruptions caused by third-party infrastructure, including Supabase, Google, Dodo Payments, or Resend;
- Loss arising from unauthorised account access resulting from your failure to secure your credentials.
Liability cap — paid accounts:
Our total liability to you for any claim shall not exceed the total fees you have paid to Receivly in the 12 months before the event giving rise to the claim.
Liability cap — free trial:
Where no fees have been paid, our total liability shall not exceed ₹500.
Nothing here limits liability for fraud or wilful misconduct.
10. Force Majeure
We are not liable for failure or delay caused by circumstances outside our reasonable control, including third-party service outages, government action, natural disasters, internet failures, or cyber attacks. We will communicate material outages by email and restore service as quickly as reasonably possible.
11. Termination
By you: You may delete your account at any time from Settings → Danger Zone. Your data will be permanently deleted from active systems within 30 days, subject to legal retention obligations described in clause 12.
By us: We may suspend or terminate your account if you violate these Terms, fail to pay after the grace period, or engage in conduct that creates legal or security risk. Where feasible, we will notify you and allow an opportunity to remedy the issue before taking action.
During suspension: Your data is retained but inaccessible to you. Upon permanent termination, your data is deleted within 30 days.
Disputed termination: If you believe your account was suspended or terminated in error, contact us at contact@receivly.in with the subject line "Account Termination Review" within 30 days. We will respond within 5 business days.
12. Data Retention After Termination
Upon account deletion or termination, your data will be permanently deleted from our active systems within 30 days, except where retention is required by applicable Indian law — including the Goods and Services Tax Act, 2017, the Income Tax Act, 1961, and applicable payment and tax record-keeping regulations.
Bank account metadata may be retained beyond the 30-day window specifically to satisfy these government compliance obligations. We retain only the minimum data required, with restricted access, and delete it as soon as the legal obligation ceases.
Usage logs are retained for up to 90 days post-termination and then deleted.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India.
Step 1 — Negotiation: Before any formal proceedings, both parties agree to attempt resolution through good-faith written communication for a minimum of 30 days from the date one party notifies the other of the dispute.
Step 2 — Courts: If negotiation does not resolve the dispute, both parties submit to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
Consumer forum exception: Nothing here prevents either party from approaching a consumer forum or small causes court of competent jurisdiction where the claim qualifies.
